The formulation of rules and regulations should be closely combined with the situation of enterprises and strictly according to law. They should be "lawful, reasonable, comprehensive and specific". Because of the different circumstances of enterprises, only the legal problems that should be paid attention to in formulating rules and regulations should be recommended as follows:

       1.规章制度的内容违法。许多企业制定规章制度时由于不了解或漠视现行的法律法规、政策而致使所制定的规章制度中的某些内容违反法律规定而不具有法律效力,如企业依这些内容管理员工而发生争议,企业的行为将得不到法律支持。因此,规章制度必须内容合法。

      2.规章制度未经民主程序制定。许多企业制定规章制度都只是由企业的董事会或总经理甚至是某个部门制定后即实施。但法律规定企业的规章制度应经职工(代表)大会通过,否则不发生法律效力。 

       3.规章制度未经公示。许多企业的有些规章制度根本不为员工所知,这就使员工无所遵从,因此法律规定企业规章制度必须要向全体员工公示,否则不对员工产生效力。

      4.规章制度未及时修改、补充。许多企业规章制度制定好以后便完事大吉,但实际情况是现行法律不断推陈出新,制订当时属合法的内容可能现在已不合法。因此企业应当自行或委托有关专家对已有的规章制度进行定期或不定期检查,及时修改、补充相关内容。
