([2022] No. 16) (hereinafter referred to as "warning letter") issued by Jiangsu regulatory bureau of China Securities Regulatory Commission (hereinafter referred to as "Jiangsu securities regulatory bureau")

According to investigation, on January 4, 2021, 160 million shares of GCL Energy Technology Co., Ltd. (hereinafter referred to as GCL Energy Technology Co., Ltd.) held by Shanghai Qichen Investment Management Co., Ltd. (hereinafter referred to as Shanghai Qichen) were judicial frozen by Wuxi intermediate people's Court of Jiangsu Province, accounting for 11.83% of the total equity of GCL Energy Technology Co., Ltd., and then the freeze was lifted on February 1, 2021. The above-mentioned matters are major events that should be temporarily announced as stipulated in Article 30 of the measures for the administration of information disclosure of listed companies (Order No. 40 of the CSRC).

Shanghai Qichen's failure to inform GCL of the above-mentioned matters violates Article 46 of the administrative measures for information disclosure of listed companies (Order No. 40 of the CSRC). On January 5 and February 2, 2021, GCL energy technology inquired and learned the above-mentioned freezing and unfreezing information through the Shenzhen Branch of China securities registration and Clearing Co., Ltd., but failed to disclose it in time, which violates the provisions of articles 2 and 30 of the administrative measures for information disclosure of listed companies (order No. 40 of the CSRC). According to the provisions of Article 59 of the measures for the administration of information disclosure of listed companies (Order No. 40 of the CSRC), our bureau has decided to take administrative supervision measures to issue warning letters to Shanghai Qichen and GCL energy branches, and record them in the integrity archives of the securities and futures market. Your company should learn from the lessons seriously, strengthen the study of securities laws and regulations, strictly perform the obligation of information disclosure, and put an end to the recurrence of such incidents, and submit a written report to our bureau within 15 working days from the date of receiving this decision. If you are not satisfied with the supervision and management measures, you may file an application for administrative reconsideration to the China Securities Regulatory Commission within 60 days from the date of receiving this decision, or file a lawsuit in the people's court with jurisdiction within 6 months from the date of receiving this decision. During the period of reconsideration and litigation, the above-mentioned administrative supervision measures shall not be suspended. "
